Effective Date: September 29, 2026
This Participation Agreement (“Agreement”) is entered into between Reindeers Forever Gift Corporation (“Reindeers,” “we,” “us,” or “our”) and the shelter, care agency, or other organization identified in the electronic acceptance record (“Organization”).
This Agreement applies only to Organizations approved by Reindeers to participate in the Reindeers Forever Gifts program (the “Reindeers program”) as a Participating Organization.
The Organization’s participation in the Reindeers program is also governed by the Reindeers Terms and Conditions and Privacy Policy, as updated in accordance with their terms.
The Terms and Conditions govern general use of the Reindeers platform (the “Platform”). This Agreement establishes additional requirements specifically applicable to Participating Organizations.
If this Agreement conflicts with the Terms and Conditions with respect to obligations specifically applicable to a Participating Organization, this Agreement will control to the extent of the conflict.
The Organization may submit and manage wishes only on behalf of children eligible to participate in the Reindeers program.
The Organization is responsible for determining that it has appropriate authority to act on behalf of a Recipient in connection with information, wishes, gift selections, and other activities submitted through the Platform.
A minor may participate in identifying a wish, selecting a gift, and describing interests or an appropriate story, but may not independently create or maintain an account or independently submit or manage a wish.
The Organization must not submit false, misleading, materially incomplete, or fraudulent information concerning a Recipient, wish, circumstance, or eligibility.
The Organization must not knowingly submit or maintain a wish for an item that is prohibited, restricted, or presents a reasonably apparent safety concern under Reindeers’ then-current program requirements. Reindeers may reject, remove, suspend, or require modification of a wish if Reindeers reasonably determines that the requested item does not comply with applicable program requirements or presents a material safety concern.
The Organization must protect the privacy, dignity, and safety of Recipients.
Public-facing content concerning a minor, including any username or display name, must not include information that could reasonably identify, locate, or enable direct contact with the minor, including the minor’s full legal name, private residential address, personal telephone number, personal email address, school name, full date of birth, social-media contact information, precise location, or other information that could reasonably identify, locate, or enable direct contact with the minor.
The Organization must not submit, upload, or publish through the Platform any photograph, video, or other image depicting or identifying a Recipient. This restriction applies regardless of whether parental, guardian, or other consent has been obtained.
Where delivery information is necessary, the Organization must use an approved organizational mailing or delivery address and must not provide a Recipient’s private residential address to a Donor through the Platform.
The Organization must have the authority and any consent required by applicable law before submitting information, stories, or other content concerning a Recipient.
The Organization must promptly notify Reindeers if it becomes aware that Recipient information has been submitted without appropriate authorization or creates a privacy or safety concern.
The Organization may select available gifts through the Platform for eligible Recipients. A selection constitutes a request only and does not create any right or entitlement to receive the gift.
A Donor may approve or reject a selection in accordance with the Terms and applicable Platform procedures. Reindeers does not guarantee that any selection will be approved by a Donor or that a proposed gift fulfillment will be completed.
The Organization must comply with applicable Platform workflows and time limits and should timely review notices concerning selections, approvals, shipments, cancellations, receipt, and fulfillment status.
Before providing a gift to a Recipient, the Organization must reasonably review the gift and its packaging for apparent safety and suitability concerns, including visible damage, missing or broken components, known recall information, age recommendations, warnings, and other readily apparent concerns.
In determining whether a particular gift is appropriate for a particular Recipient, the Organization should consider the Recipient’s age, abilities, circumstances, known restrictions, and other information reasonably available to the Organization and relevant to that determination.
If the Organization identifies a reasonable safety or suitability concern, the gift must not be provided to the Recipient unless the concern has been appropriately resolved.
Any review, screening, receipt, handling, transportation, or other involvement by Reindeers is intended to support administration of the charitable program. Such involvement does not constitute a representation, warranty, or guarantee that a gift is free from defects or suitable for a particular Recipient, and does not replace the Organization’s reasonable review and judgment before distribution.
If the Organization reasonably determines that a gift is unsafe, inappropriate, damaged, recalled, or otherwise unsuitable for the intended Recipient, the Organization may refuse, quarantine, or decline to distribute the item and must notify Reindeers when further handling or disposition is required.
The Organization must not independently sell, exchange, donate, redirect, or otherwise dispose of such a gift in a manner inconsistent with the Terms or Reindeers’ instructions.
Where appropriate, Reindeers and the Organization may arrange for the gift to be returned, redirected to another eligible Recipient or charitable use, or otherwise handled appropriately.
If immediate action is reasonably necessary to protect a child or another person from a safety risk, the Organization may take reasonable protective action and notify Reindeers as soon as practicable.
Unsafe or recalled gifts must not knowingly be redistributed. The Organization must promptly notify Reindeers if it becomes aware that a gift listed, received, held, or distributed through the program is recalled, banned, defective, unsafe, or otherwise presents a material safety concern, or if there is a material injury, safety incident, or other serious concern reasonably associated with such a gift, in each case to the extent permitted by applicable law and without unnecessarily disclosing confidential Recipient information.
The Organization must store gifts received through Reindeers in a reasonably safe and appropriate manner pending distribution.
Gifts received through the program must be used for the charitable purposes of the Reindeers program and may not be:
Reindeers does not represent or guarantee that any gift may be returned, exchanged, refunded, replaced, or credited by a Donor, retailer, manufacturer, or other third party.
If a Recipient cannot receive or appropriately use a gift, the Organization must follow the applicable Reindeers process for return, redirection, or other disposition.
The Organization should confirm receipt through the Platform when a gift is received. To prevent inactive transactions from remaining open indefinitely, the Platform may apply time limits to certain fulfillment steps. Unless a different period is stated on the Platform for the applicable transaction:
if a Donor does not approve the Organization’s selection within fourteen (14) days after the selection is made, the selection may be automatically canceled and the gift made available again;
if a Donor approves the selection but does not complete the required shipment step within thirty (30) days after approval, the fulfillment may be automatically canceled and the gift made available again; and
if a gift has been recorded as delivered and the Organization does not confirm receipt within thirty (30) days after delivery, the transaction may be administratively marked as completed for Platform recordkeeping and workflow purposes.
Such administrative completion does not constitute a representation or determination that the gift was actually received by the Organization or Recipient.
The Organization must maintain reasonable records sufficient to document the receipt and disposition of gifts received through the Reindeers program. Upon reasonable request, the Organization must cooperate with Reindeers and provide information reasonably necessary to verify receipt, distribution, return, redirection, or other disposition of a gift, or to address a material safety, fraud, legal, regulatory, or compliance matter, including compliance with applicable law, a valid court order, or governmental requirement.
Any information disclosed for such purposes should be limited to what is reasonably necessary under the circumstances, and records must be maintained in a manner reasonably designed to protect confidential Recipient information.
The Organization is responsible for maintaining reasonable control over access to its account, protecting account credentials, and limiting access to personnel who reasonably require it for authorized functions. The Organization must promptly notify Reindeers of known unauthorized account access or other circumstances that may materially compromise Platform or Recipient information.
The Organization must use the Platform in good faith and for the charitable purposes for which participation was approved.
The Organization must not:
The Organization must reasonably cooperate with Reindeers regarding legitimate safety, privacy, fraud-prevention, fulfillment, compliance, recall, or program-integrity concerns.
The Organization remains responsible for complying with laws and professional or regulatory requirements applicable to its own operations, personnel, safeguarding practices, and services to children. Nothing in this Agreement is intended to replace or alter any legal duty applicable to the Organization or its personnel.
Reindeers may send account, verification, wish, gift-selection, approval, rejection, shipment, receipt, deadline, cancellation, completion, safety, security, and other service-related or transactional communications through the Platform and, where available, by email or another contact method associated with the Organization’s account. Failure to receive or review a reminder does not, by itself, extend a deadline established under the Terms or applicable Platform procedures.
For gifts distributed through Reindeers, Reindeers generally aims to complete delivery within thirty (30) days after the applicable fulfillment is confirmed. Delivery may take longer because of carrier delays, severe weather, holidays, inventory or availability issues, address or scheduling problems, safety concerns, or other circumstances reasonably outside Reindeers’ control.
Gift fulfillment may involve independent Donors, retailers, carriers, and other third parties whose acts or omissions are not controlled by Reindeers. When a Donor or retailer ships a gift directly to a Participating Organization, shipment and delivery timing may depend on the Donor, retailer, or carrier. Reindeers therefore cannot guarantee a specific shipment or delivery date for such gifts.
Approval as a Participating Organization does not guarantee that any wish will be selected or fulfilled, that any available gift selected by the Organization will be approved by a Donor, or that any gift will ultimately be accepted, distributed, or provided to a particular Recipient.
Reindeers may suspend or terminate the Organization’s participation or access to Participating Organization features if Reindeers reasonably determines that:
If participation is suspended or terminated, Reindeers may require the Organization to stop distributing undistributed gifts and to return, hold, or redirect such gifts as reasonably directed by Reindeers.
The Organization may stop participating by notifying Reindeers, subject to reasonable obligations relating to transactions, gifts, records, safety matters, or other matters already in progress.
Obligations that by their nature should continue after termination, including privacy, safety, recordkeeping, indemnification, and obligations concerning undistributed gifts, will survive as reasonably necessary to give them effect.
To the extent permitted by applicable law, the Organization agrees to indemnify and hold harmless Reindeers and its directors, officers, employees, volunteers, agents, and contractors from and against third-party claims, demands, actions, proceedings, losses, liabilities, damages, judgments, settlements, costs, and reasonable attorneys’ fees, to the extent arising from:
This obligation does not apply to the extent a claim results from Reindeers’ gross negligence, reckless or willful misconduct, fraud, or any other liability that cannot lawfully be indemnified, excluded, or limited.
The disclaimers and limitations of liability contained in the Terms and Conditions apply to participation under this Agreement to the extent permitted by applicable law.
The parties agree that this Agreement may be entered into and maintained electronically.
By completing the electronic acceptance process provided by Reindeers, the representative:
Reindeers may maintain an electronic record of acceptance, including the Organization name, account identifier, representative name, representative title or role, business email address, acceptance date and time, Agreement version, and other technical information reasonably used to document acceptance.
The Organization must be given a reasonable opportunity to download, print, or otherwise retain a copy of the Agreement at the time of acceptance.
An electronic signature or electronic record will not be denied effect solely because it is in electronic form, subject to applicable law.
Reindeers may revise this Agreement from time to time to reflect changes in the program, Platform, operational requirements, safety practices, or applicable law.
For a material change affecting Participating Organization obligations, Reindeers may require an authorized representative of the Organization to accept the revised Agreement before continuing to use affected Participating Organization features.
This Agreement is governed by the laws of the Commonwealth of Massachusetts and applicable federal law, without regard to conflict-of-law principles.
Subject to applicable law, any dispute properly brought in court concerning this Agreement shall be brought in a court of competent jurisdiction in Massachusetts.
If any provision of this Agreement is invalid or unenforceable, it will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
A failure by either party to enforce a provision on one occasion does not waive the right to enforce it later.
Nothing in this Agreement creates or shall be construed to create any agency, employment, partnership, joint venture, fiduciary, or similar relationship between Reindeers and the Organization. The Organization has no authority to act for, bind, or make any representation or commitment on behalf of Reindeers.
This Agreement, together with the Reindeers Terms and Conditions, Privacy Policy, and any other applicable written program-specific agreement, governs the Organization’s participation in the Reindeers program.
