Terms and Conditions

Reindeers operates a charitable platform that connects eligible children served by shelters and care agencies approved by Reindeers (“Participating Organizations”) with individuals and organizations wishing to provide gifts (“Donors”).

“Recipient” means an eligible child on whose behalf a Participating Organization submits a wish or selects an available gift.

The Platform is publicly accessible for browsing. Certain features require a registered account, and features reserved for Participating Organizations require approval by Reindeers.

Reindeers is not a retail marketplace and is not a party to any sale or purchase contract between a Donor, Recipient, retailer, manufacturer, or other third party arising solely from use of the Platform. A Recipient does not purchase goods through the Platform, and a Donor does not enter into a sales contract with a Recipient merely by providing a gift.

Depending on the circumstances, a gift may be shipped directly by a Donor or retailer to a Participating Organization, or Reindeers may purchase, receive, temporarily hold, transport, ship, or otherwise arrange delivery of the gift.

Reindeers does not manufacture or sell donated products.

A minor may participate in selecting a gift, identifying a wish, and describing the minor’s interests or story, but may not independently create or maintain an account or independently submit or manage a wish.

Individual accounts may list or donate gifts and claim wishes for fulfillment. Individual accounts may not submit or manage wishes on behalf of Recipients or select available gifts.

Registration for an organization account does not constitute approval as a Participating Organization. Only shelters and care agencies approved by Reindeers as Participating Organizations may use an organization account to submit or manage wishes or select available gifts on behalf of eligible children. A person submitting an organization application represents that the person is authorized to submit the application on behalf of the organization.

Reindeers may review information reasonably necessary to verify the organization and its representatives and may request additional information where reasonably necessary to complete that review.

While an organization account is under review, the organization may not use features reserved for Participating Organizations, including submitting or managing wishes or selecting available gifts.

If Reindeers approves the organization, the organization must have its Participation Agreement accepted by a representative authorized to act on behalf of the organization before using Participating Organization features, including submitting or managing wishes or selecting or receiving gifts on behalf of Recipients.

If Reindeers does not approve the organization, access to Participating Organization features will remain unavailable. Reindeers may provide the organization with the reason for the decision and, where appropriate, a supplemental explanation.

An approved Participating Organization that has completed the applicable Participation Agreement requirements may submit or manage wishes and select available gifts for multiple eligible children through its organization account.

Participating Organizations may assist children in identifying wishes and reviewing or selecting gifts offered through the Platform.

Reindeers encourages each child, together with the Participating Organization assisting the child, to focus on one active wish at a time when practical so that available opportunities may reach as many children as possible. This is a program preference, not a strict limit, and exceptions may be allowed when appropriate.

Public-facing content associated with a minor must not include the minor’s full legal name, private residential address, personal telephone number, personal email address, school name, full date of birth, social-media contact information, precise location, or other information that could reasonably identify, locate, or enable direct contact with the minor.

Donors may not use information obtained through the Platform to contact, locate, visit, or communicate directly with a minor except through a method expressly authorized by Reindeers and the applicable Participating Organization.

All wishes and donation listings are subject to review.

Reindeers may edit, reject, suspend, or remove a submission or account when it reasonably determines that there is a safety, privacy, legal, fraud, eligibility, or program concern, or that the submission is inconsistent with these Terms or the charitable purpose of the Platform.

Reindeers may request additional information reasonably needed to review a submission, including photographs, descriptions, manufacturer information, age recommendations, proof of purchase, or safety information.

Approval by Reindeers means only that a submission has been accepted for participation in the program. It is not a product inspection, safety certification, warranty, endorsement, authentication, or determination that an item is safe or appropriate for a particular Recipient.

Reindeers may reject or remove an item after prior approval if new information or the physical condition of the item raises a safety, legal, or suitability concern.

As described in Section 6, the applicable Participating Organization must reasonably review the gift before distribution and exercise its judgment in determining whether the gift is appropriate for a particular Recipient.

Users may not request, list, send, or donate an item that is unlawful, recalled, banned, counterfeit, materially defective, contaminated, or reasonably likely to create an unreasonable risk of harm.

Prohibited items include, without limitation:

firearms, ammunition, knives, blades, weapons, or dangerous weapon replicas;

toys that discharge dangerous projectiles;

fireworks, explosives, fuels, matches, lighters, or highly flammable materials;

hazardous chemicals, poisons, or toxic substances;

recalled or banned consumer products;

broken, contaminated, unsanitary, materially damaged, or defective products;

items with exposed sharp edges, sharp points, broken components, exposed wiring, or other apparent hazards;

age-inappropriate choking hazards or loose small parts;

loose or accessible high-powered magnets;

products with loose, exposed, damaged, or inadequately secured button-cell or coin batteries;

drugs, controlled substances, cannabis products, alcohol, nicotine or vaping products, or prescription medications;

sexually explicit or adult-oriented products;

products promoting self-harm, criminal activity, hatred, or violence inappropriate for children;

stolen or unlawfully obtained goods; and

any other item Reindeers reasonably determines may present an unreasonable safety risk or is inconsistent with the purpose of the program.

Reindeers also does not accept certain higher-risk items, including food, beverages, dietary supplements, cosmetics or personal-care products, items presenting significant common-allergen concerns, drones, e-bikes, hoverboards, motorized ride-on products, heating devices, laser products, high-powered electrical products, used child-safety equipment, or similar products that may present elevated safety, health, fire, electrical, battery, or transportation risks.

Reindeers may reject or remove an item that it reasonably determines is unsafe, inappropriate, or unsuitable for the program, even if the item is not specifically listed above.

Unless expressly approved otherwise by Reindeers, items provided through the Reindeers program must be new, unused, clean, complete, and in original manufacturer packaging, with applicable instructions, warnings, labels, age recommendations, and safety information intact.

By listing or donating an item, the Donor represents, to the best of the Donor’s knowledge, that:

the Donor has the lawful right to provide the item;

the item is accurately described in all material respects;

any material difference from the item shown or described on the Platform has been disclosed;

the item is not subject to a known recall, safety ban, or legal prohibition;

the item has not knowingly been damaged, contaminated, materially altered, improperly repaired, or rendered unsafe; and

manufacturer warnings or safety information have not knowingly been removed or concealed.

A Donor may not knowingly substitute a materially different item if the substitution changes the product’s age suitability, safety characteristics, size, function, or another significant feature without approval from Reindeers or the applicable Participating Organization, as appropriate.

When a Participating Organization selects an available gift listed by a Donor, the selection constitutes a request for that gift and does not by itself obligate the Donor to provide or ship the item.

The Donor may approve or reject the selection through the Platform. If the Donor rejects the selection, the Donor must select an applicable reason as required by the Platform and may provide an additional explanation.

A Donor may approve or reject a selection in the Donor’s discretion, subject to these Terms and applicable law. Reindeers does not guarantee that a Donor will approve a selection and is not responsible for a Donor’s independent decision to reject, withdraw from, or fail to complete a proposed gift fulfillment, except to the extent resulting from Reindeers’ own conduct for which liability cannot lawfully be excluded or limited.

If the Donor approves the selection, the Donor is responsible for completing the applicable shipment step through the Platform, including providing shipping information required by the Platform when the item is shipped directly by the Donor.

An authorized representative may assist a child in selecting or approving a gift before shipment. Selection of an available gift by a Participating Organization does not constitute final allocation of the gift until the Donor approves the selection through the Platform.

Before distribution, the Participating Organization must conduct a reasonable review of the item and its packaging for visible damage, missing parts, recall information, age suitability, warnings, and other reasonably apparent safety or suitability concerns, including those described in Section 4. In determining whether a particular gift is appropriate for a particular Recipient, the Participating Organization should consider the Recipient’s age, abilities, developmental needs, circumstances, known restrictions, and the organization’s own safety policies.

A Participating Organization may refuse, quarantine, or decline to distribute an item if the organization reasonably determines that the item is unsafe, inappropriate, damaged, recalled, or otherwise unsuitable for the intended Recipient. If further handling or disposition is required, the Participating Organization must notify Reindeers so that the gift may be returned, redirected to another eligible Recipient or charitable use, or otherwise handled appropriately.

Reindeers’ prior review, approval, purchase, receipt, handling, transportation, or delivery of an item does not replace the Participating Organization’s reasonable review and judgment before distribution.

Participating Organizations must maintain reasonable records sufficient to document the receipt and disposition of gifts received through Reindeers. Upon reasonable request, a Participating Organization must cooperate with Reindeers and provide information reasonably necessary to verify receipt, distribution, return, redirection, or other disposition of a gift.

Gifts received through Reindeers may not be taken or used for the personal benefit of a Participating Organization’s employees, officers, directors, volunteers, contractors, or other personnel.

A gift may be delivered through Reindeers or shipped directly by a Donor, retailer, or carrier to a Participating Organization. For gifts distributed through Reindeers, Reindeers generally aims to complete delivery within thirty (30) days after the applicable fulfillment is confirmed. Delivery may take longer because of carrier delays, severe weather, holidays, inventory or availability issues, address or scheduling problems, safety concerns, or other circumstances reasonably outside Reindeers’ control.

When a Donor or retailer ships a gift directly to a Participating Organization, shipment and delivery timing may depend on the Donor, retailer, or carrier. Reindeers therefore cannot guarantee a specific shipment or delivery date for such gifts. When the Platform requires shipment information, the Donor must provide the applicable carrier and tracking information through the Platform after shipment, and the Participating Organization should confirm receipt through the Platform after the gift is received.

To prevent inactive selections from remaining open indefinitely, the Platform applies time limits to certain fulfillment steps. Unless a different period is stated on the Platform for the applicable transaction:

if a Donor does not approve a Participating Organization’s selection within fourteen (14) days after the selection is made, the selection may be automatically canceled and the gift made available again;

if a Donor approves the selection but does not complete the required shipment step within thirty (30) days after approval, the fulfillment may be automatically canceled and the gift made available again; and

if a gift has been recorded as delivered and the Participating Organization does not confirm receipt within thirty (30) days after delivery, the transaction may be administratively marked as completed for Platform recordkeeping and workflow purposes.

An administrative completion does not constitute independent verification by Reindeers that physical delivery occurred. The Platform may send reminders before an applicable deadline, but failure to receive or review a reminder does not, by itself, extend an applicable deadline.

Reindeers may combine multiple gifts for delivery to the same Participating Organization or geographic area and may use scheduled or consolidated deliveries, including for holiday and other special programs. Physical gifts intended for minors ordinarily will be delivered to a Participating Organization or another authorized adult rather than directly to the child.

When an item is in Reindeers’ physical custody, Reindeers will use reasonable care in handling it. Reindeers does not independently test every product and may not discover concealed manufacturing defects or latent hazards that are not reasonably apparent through ordinary handling.

Shipping may involve independent retailers, carriers, Donors, and other third parties. Delays, loss, theft, misdelivery, carrier error, or shipping damage may occur because of circumstances outside Reindeers’ reasonable control.

Posting or approving a wish does not guarantee that the wish will be selected, fulfilled, shipped, delivered, accepted, or ultimately provided to the intended Recipient.

Product photographs, descriptions, brands, models, colors, sizes, features, prices, age recommendations, availability, and other information may be supplied by Donors, Participating Organizations, manufacturers, retailers, or other third parties. Reindeers does not independently verify every statement about every product.

An item received may differ from the wish or listing in non-material respects, and reasonable substitutions may occur because of availability or other circumstances. A difference or substitution is not considered non-material if it materially changes the item’s intended use, age suitability, safety, or suitability for the intended Recipient. Reindeers will not knowingly make such a substitution without approval from the applicable Participating Organization.

Reindeers may cancel, suspend, redirect, substitute, or discontinue a proposed fulfillment when reasonably necessary because of product availability, delivery problems, changed circumstances, expiration of an applicable Platform deadline, suspected fraud, safety concerns, or violation of these Terms.

Donated gifts may not be sold, traded, bartered, or provided in exchange for money, services, or anything else of value; used for raffles, auctions, fundraising activities, or prizes; or returned to a retailer or manufacturer for cash, store credit, merchandise credit, or other value. If a Recipient cannot receive or appropriately use an item, Reindeers and the applicable Participating Organization may return the item through a process approved by Reindeers or redirect it to another eligible Recipient or charitable use.

Reindeers may suspend distribution or remove an item from the Platform if it becomes aware that the item is subject to a recall or safety ban, or if it receives information reasonably suggesting that the item may be unsafe. Reindeers may notify affected Donors or Participating Organizations and request that distribution be suspended.

Anyone who becomes aware that an item listed, donated, received, held, or distributed through the Platform may be defective, unsafe, or subject to a recall or safety ban should promptly notify Reindeers. A Donor or Participating Organization that knows an item is subject to a recall or safety ban must promptly notify Reindeers.

If a material safety or suitability concern exists, the item must not be distributed until the concern has been appropriately resolved. Recipients, parents, guardians, and Participating Organizations should follow manufacturer instructions, age recommendations, warnings, assembly instructions, and supervision requirements.

Unless expressly stated otherwise, Reindeers does not provide a product warranty for items made available through the Platform.

Any manufacturer or retailer warranty remains subject to the terms provided by that manufacturer or retailer.

Reindeers’ review, approval, listing, matching, purchase, receipt, handling, transportation, or delivery of an item does not constitute a representation or warranty that the item is free from defects, safe for every use, or appropriate for a particular Recipient.

The Platform is provided on an “as is” and “as available” basis to the fullest extent permitted by applicable law.

To the fullest extent permitted by applicable law, Reindeers and its directors, officers, employees, volunteers, agents, and contractors shall not be liable for injury, loss, or damage to the extent caused by:

a third-party product defect, recall, or safety hazard;

a concealed or undisclosed defect or hazard not reasonably apparent to Reindeers;

inaccurate, incomplete, or misleading information provided by a third party;

product misuse or failure to follow manufacturer instructions, warnings, age recommendations, or supervision requirements;

shipping or delivery events outside Reindeers’ reasonable control; or

the independent acts or omissions of a Donor, Participating Organization, manufacturer, retailer, Recipient, carrier, or other third party.

To the fullest extent permitted by applicable law, Reindeers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the Platform or participation in the program.

Nothing in these Terms excludes or limits liability for Reindeers’ gross negligence, reckless or willful misconduct, fraud, or any other liability that cannot lawfully be excluded or limited.

Users may not create false or misleading wishes, misrepresent eligibility or circumstances, falsely claim an item was sent or received, obtain gifts through deception, divert gifts for unauthorized personal profit, impersonate another person or organization, obtain unauthorized benefits, interfere with Platform security, or use the Platform for unlawful purposes.

Users are responsible for maintaining the confidentiality of their account credentials.

Reindeers may reject submissions, remove content, suspend or terminate accounts, or cancel outstanding wishes, gift selections, or donations when Reindeers reasonably believes these Terms have been violated or continued participation presents a safety, privacy, fraud, legal, or operational concern.

If a Participating Organization is suspended or terminated, Reindeers may require it to stop distributing any undistributed gifts and to return or redirect those gifts as directed by Reindeers.

Reindeers may cooperate with law enforcement, regulatory authorities, consumer product safety authorities, carriers, or Participating Organizations when appropriate.

Users are responsible for the information, photographs, descriptions, stories, and other content they submit and represent that they have the right and necessary authorization to provide it.

By submitting content, the user grants Reindeers a nonexclusive right to use, display, store, and process the content as reasonably necessary to operate and administer the charitable program, subject to applicable privacy requirements and consents.

Reindeers may use content for promotional or public communications only where the necessary authorization or consent has been obtained.

Personal information is governed by the Reindeers Privacy Policy.

Users must comply with the child privacy and safety requirements described in Section 2.

Reindeers may remove content that presents a privacy, safety, or legal concern or is inconsistent with the operation of the program.

Reindeers may send account, verification, gift-selection, approval, rejection, shipment, receipt, deadline, cancellation, completion, security, and other service-related or transactional communications through the Platform and, where available, by email or another contact method associated with the account.

Reindeers does not provide tax, accounting, or legal advice to Donors. The tax treatment of a monetary or in-kind contribution depends on applicable law and the circumstances of the contribution. Reindeers does not guarantee that a particular donation is tax deductible or guarantee the amount of any allowable deduction. Donors are responsible for determining the value of donated property and maintaining documentation required for their tax purposes. Reindeers may provide acknowledgments or receipts where appropriate but does not provide valuations of donated property.

To the extent permitted by applicable law, an adult user or Participating Organization agrees to indemnify and hold harmless Reindeers and its directors, officers, employees, volunteers, agents, and contractors from and against third-party claims, demands, actions, proceedings, losses, liabilities, damages, judgments, settlements, costs, and reasonable attorneys’ fees, to the extent arising from:

that user’s or organization’s material violation of these Terms;

knowing misrepresentation, fraud, or unlawful conduct;

infringement or violation of another person’s rights;

knowing provision, distribution, or authorization of a prohibited, recalled, or unsafe item; or

unauthorized or unlawful use of the Platform.

This obligation does not apply to the extent a claim results from Reindeers’ gross negligence, reckless or willful misconduct, fraud, or any other liability that cannot lawfully be indemnified, excluded, or limited.

Reindeers may change features or requirements of the Platform and may revise these Terms from time to time.The current Terms will be posted on the Platform with their effective date.

Unless applicable law requires otherwise, revised Terms will become effective on the stated date. Continued use of the Platform after that date constitutes acceptance of the revised Terms to the extent permitted by law.

These Terms are governed by the laws of the Commonwealth of Massachusetts and applicable federal law, without regard to conflict-of-law principles.

Subject to applicable law, any dispute properly brought in court shall be brought in a court of competent jurisdiction in Massachusetts.

If any provision of these Terms is invalid or unenforceable, it will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

A failure by Reindeers to enforce a provision on one occasion does not waive the right to enforce it later.

These Terms, together with the Reindeers Privacy Policy and any applicable program-specific agreement, govern use of the Platform.

Before using Participating Organization features, including submitting or managing wishes or selecting or receiving gifts on behalf of Recipients, an approved Participating Organization must have its Participation Agreement accepted by a representative authorized to act on behalf of the organization.

The Participation Agreement may include additional operational, safety, privacy, reporting, insurance, recordkeeping, and gift-distribution requirements applicable to Participating Organizations.

If a Participation Agreement conflicts with these Terms, the Participation Agreement will control with respect to the applicable Participating Organization to the extent of the conflict.
